Terms of Service

These Terms of Service govern your access to and use of the ASMC Contract Portal at portal.asmcservicing.com (the "Portal"), operated by ASMC Servicing, Ltd. ("ASMC," "we," "us," or "our"). By accessing or using the Portal, you agree to be bound by these Terms. If you do not agree, do not use the Portal.

1. Who We Are

ASMC Servicing, Ltd. is a California limited partnership that purchases and services home improvement retail installment contracts. The Portal is the software through which approved dealers and contractors ("Dealers") submit financing applications, and through which ASMC and its lending partners ("Lenders") review, approve, install, fund, and service those contracts.

2. The Service

The Portal allows authorized users to submit credit applications on behalf of consumer applicants, upload and generate contract documents, collect electronic signatures, link consumer bank accounts for verification and payment, exchange messages about a contract, and track a contract through its lifecycle from submission to funding.

The Portal is a business tool for Dealers and Lenders. It is not a consumer-facing product and is not an offer of credit. Nothing in the Portal constitutes a commitment to extend credit, and any approval shown in the Portal is subject to the terms and conditions of the applicable contract documents.

3. Eligibility and Accounts

Access to the Portal is limited to individuals authorized by an organization with an active agreement with ASMC. You must be at least 18 years old and acting within the scope of your employment or engagement with that organization.

You sign in using your organization's Google Workspace or Microsoft 365 account. We do not store your password. You are responsible for:

5. Electronic Records and Signatures

The Portal creates, delivers, and stores records electronically, and collects electronic signatures and initials on contract documents. By using the Portal, and by signing electronically, you and any applicant signing through the Portal agree that:

To sign and receive documents electronically you need a device with a current web browser, internet access, and the ability to view and save PDF files. A signer may request a paper copy of any signed document, or withdraw consent to do business electronically, by contacting us at contact@ASMCServicing.com. Withdrawing consent may prevent the transaction from being completed through the Portal.

6. Applicant Information and Dealer Responsibilities

Dealers submit sensitive personal and financial information about consumer applicants through the Portal. If you submit applicant information, you represent and warrant that:

7. Text Messages

Where an applicant opts in, we may send text messages for the limited purpose of scheduling a conversation about their application. Message frequency varies. Message and data rates may apply. Reply HELP for help or STOP to opt out at any time. Consent to receive text messages is not a condition of any purchase or of obtaining credit. 8. Third-Party Services

The Portal relies on third-party services, and your use of the Portal may be subject to their terms:

9. Intellectual Property

The Portal, including its software, design, text, and generated document templates, is owned by ASMC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Portal for the purposes described in these Terms. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Portal.

Data you submit remains yours or the applicant's, as applicable. You grant us the right to use, store, process, and transmit that data as necessary to provide the Portal and service the resulting contracts.

10. Confidentiality

Information you access through the Portal — including applicant personal and financial information, contract terms, pricing, and bid information — is confidential. You may use it only for the transaction it relates to, must protect it with at least the same care you use for your own confidential information, and must not disclose it to anyone other than personnel who need it for that transaction.

11. Disclaimers

THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Portal will be uninterrupted, error-free, or secure, or that any data it displays is accurate or current. You are responsible for verifying contract terms, figures, and documents before relying on them.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASMC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF THE PORTAL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Nothing in these Terms limits either party's obligations under a separate written dealer or lending agreement with ASMC, and in the event of a conflict, that agreement controls.

13. Indemnification

You agree to indemnify and hold harmless ASMC and its affiliates, officers, and employees from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the Portal, your submission of inaccurate or unauthorized applicant information, or your violation of any law or the rights of any third party.

14. Suspension and Termination

We may suspend or terminate your access to the Portal at any time, with or without notice, including if we believe you have violated these Terms or if your organization's agreement with ASMC ends. Sections concerning confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination. We will retain contract records after termination as required by law and by our records retention obligations.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Portal will be brought exclusively in the state or federal courts located in San Mateo County, California, and you consent to the jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated to your organization. Your continued use of the Portal after a change takes effect constitutes acceptance of the revised Terms.
